Energy performance contracts involve energy-saving capital improvements to a building or industrial facility that will be financed through the cost savings resulting from improved energy performance. The parties to an energy performance contract are a building or facility owner and an energy service contracting organization ("ESCO") that specializes in implementing energy efficiency technologies and strategies. The specific provisions of the energy performance contracts will differ based on the market and preferences of the particular parties, however the following are typical provisions:
  • ESCO finances all or a part of the capital improvement
  • guarantees significant long-term cost savings
  • maintains consistent and reasonable levels of occupant comfort
  • maintains consistent levels of building functionality

The cost of capital improvements and the resulting savings are divided by the parties to the agreement based on an economic analysis of the cost of the improvements and the expected cost savings.
